Jena. Carl Zeiss Meditec AG, one of the flagships of the Jena economy, has officially invited shareholders to this year’s ordinary Annual General Meeting (AGM). As the SDAX and TecDAX-listed company announced on Tuesday, February 10, 2026, shareholders will vote on the development of the past fiscal year and the allocation of profits on March 26.
Virtual Format at the Dorint Hotel
The medical technology specialist continues to focus on digital efficiency in 2026. In accordance with the Articles of Association, the AGM will be held as a purely virtual event. For shareholders and their proxies, this means that no physical presence on-site is intended.
Nevertheless, the connection to the “City of Light” is maintained: the legal venue of the meeting is the Dorint Hotel Esplanade at Carl-Zeiss-Platz 4. From here, the company’s management will preside over the meeting and control the livestream for registered shareholders. Shareholders can follow the event via a password-protected internet portal in video and audio, cast their votes, and submit questions.
Financial Key Figures and Dividend Proposal
The focus of interest for many investors is traditionally the allocation of unappropriated profit. The Management Board and Supervisory Board have developed a clear proposal for the 2024/2025 fiscal year. With an unappropriated profit of approximately 703.7 million euros, a dividend of 0.55 euros per no-par value share is to be distributed.
In total, this corresponds to a payout of over 48.1 million euros to shareholders. According to the management proposal, the lion’s share of the profit, approximately 655.6 million euros, is to be carried forward to new account. This suggests that the company intends to keep capital in-house to remain flexibly positioned for future investments or market fluctuations. The annual financial statements as of September 30, 2025, have already been approved by the Supervisory Board and are thus finalized—the meeting therefore no longer needs to resolve on this matter.
Significance for Jena as a Business Location
Even though the virtual format eliminates the classic “shareholder tourism” that used to fill Jena’s hotels and restaurants on AGM days, the date remains an important milestone for the city. Carl Zeiss Meditec AG is not only a major employer in the region but also a technological flagship for Thuringia on the world market.
The presentation of business figures and strategic direction also indirectly provides insights into the economic stability of the high-tech industry in the Saale valley. Especially in times of global economic challenges, local observers are keen to see how the group positions itself and what signals emanate from Carl-Zeiss-Platz.
Deadlines for Shareholders
Those wishing to participate in the voting must observe important deadlines. The decisive factor for eligibility to participate and vote is share ownership on the so-called “Record Date.” This record date is March 4, 2026 (24:00 CET). Shareholders must therefore hold shares in their securities account at this time and subsequently register in due time via their custodian bank or directly via the registration portal to gain access to the virtual room.
